Introduction

Welcome to HEZA Initiative ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, services, and any content provided by HEZA Initiative (collectively, the "Services").

HEZA Initiative is a youth-led organization committed to transforming lives through improved nutrition and health in Rwanda. Our mission is to support and empower communities—particularly women, children, and vulnerable groups—by tackling all forms of malnutrition and creating sustainable pathways to better health.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

Acceptance of Terms

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

These Terms constitute a legally binding agreement between you and HEZA Initiative. If you do not agree to these Terms, you may not access or use our Services.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by updating the date at the top of these Terms and, in some cases, we may provide additional notice (such as adding a statement to our website or sending you a notification).

Your continued use of our Services after the changes have been made will constitute your acceptance of the changes. If you do not agree to the changes, you should discontinue using our Services.

Access and Use

Subject to your compliance with these Terms, HEZA Initiative grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our Services for your personal or organizational purposes.

You agree not to:

• Use our Services in any way that violates any applicable law or regulation
• Use our Services for any harmful, fraudulent, or deceptive purpose
• Interfere with or disrupt the integrity or performance of our Services
• Attempt to gain unauthorized access to our Services or related systems

We reserve the right to terminate or restrict your access to our Services if, in our sole discretion, we determine that you have violated these Terms.

User Content

You retain ownership of your User Content, but you grant HEZA Initiative a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content in connection with our Services.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate the rights of any third party
• Your User Content complies with these Terms and all applicable laws

We reserve the right to remove any User Content that, in our sole discretion, violates these Terms or is otherwise objectionable.

Intellectual Property

Our Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof, are owned by HEZA Initiative, our licensors, or other providers and are protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you a right or license to use any of our trademarks, logos, or other brand elements. All rights not expressly granted to you are reserved by HEZA Initiative and our licensors.

Donations

HEZA Initiative is a non-profit organization that accepts donations to support our mission. By making a donation, you agree to the following terms:

• All donations are final and non-refundable
• You represent that you have the legal authority to make the donation
• You acknowledge that your donation may be tax-deductible and that HEZA Initiative does not provide tax advice
• For recurring donations, you authorize HEZA Initiative to automatically charge your payment method on a recurring basis until you cancel

We use secure third-party payment processors to handle donations. Your use of these services is subject to the terms and privacy policies of those providers.

Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

HEZA Initiative does not warrant that:

• Our Services will be uninterrupted or error-free
• Defects will be corrected
• Our Services or the servers that make them available are free of viruses or other harmful components
• Information provided through our Services is accurate, reliable, or complete

You use our Services at your own risk. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEZA INITIATIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use our Services
• Any conduct or content of any third party on our Services
• Any content obtained from our Services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall HEZA Initiative's total liability to you for all claims exceed the amount you have donated to HEZA Initiative in the past twelve months.

Indemnification

You agree to indemnify, defend, and hold harmless HEZA Initiative, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from:

• Your violation of these Terms
• Your violation of any rights of any other person or entity
• Your User Content

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use our Services will immediately cease. If you wish to terminate your account or relationship with us, you may simply discontinue using our Services.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Rwanda, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
